A UBO declaration in the UAE tells the authorities who ultimately owns or controls a company. It is not a one-off form filed at incorporation: it is a register you must keep, update and share with your licensing authority whenever ownership or control changes. With the UAE's new anti-money laundering law now in force and registrars applying a risk-based approach, getting beneficial ownership right matters more in 2026 than ever.
This guide explains the current rules, who is covered, what you must record, the deadlines and the penalties, as of 18 October 2026.
The legal framework
Beneficial ownership in the UAE is governed by Cabinet Resolution No. 109 of 2023 on the regulation of beneficial owner procedures. It replaced Cabinet Resolution No. 58 of 2020. As widely reported, including by Al Tamimi & Company, the resolution does not apply to entities in the financial free zones (DIFC and ADGM, which have their own regimes) or to government-owned entities, and it requires registrars to take a risk-based approach to supervision.
Penalties are set by Cabinet Resolution No. 132 of 2023, issued on 15 December 2023, which repealed the earlier penalties resolution (No. 53 of 2021). Many websites still quote the 2021 figures, so check any penalty table you rely on against the 2023 text.
The framework sits within the UAE's wider AML/CFT regime. Federal Decree-Law No. 10 of 2025 on anti-money laundering and countering terrorism financing replaced the 2018 law. Its Article 35 deals with false beneficial owner information; according to a reading by Herbert Smith Freehills Kramer, it carries imprisonment and a fine of at least AED 20,000.
Who must make a UBO declaration in the UAE
In practice, the obligation applies to companies licensed on the UAE mainland and in the commercial (non-financial) free zones. That includes LLCs, branches and free zone companies such as those registered with DMCC, JAFZA, IFZA, Meydan, RAKEZ or SHAMS. Each company deals with its own registrar: the economic department for mainland companies or the free zone authority for free zone companies.
Entities in DIFC and ADGM follow their own beneficial ownership rules, and government entities are outside the resolution.
Who counts as a beneficial owner
A beneficial owner is the natural person who ultimately owns or controls the company, directly or through a chain of other entities, or who exercises control by other means. The resolution sets out ownership and control tests, plus fallback rules for cases where no individual clearly meets them; check the exact tests with your registrar or adviser before you file.
The key point is that the register must reach a real individual. A holding company, trust or nominee cannot be the end of the chain. Groups with layered structures across Saudi Arabia, the UAE and other jurisdictions should map every level up to the individuals at the top.
What the beneficial owner register must contain
In practice, companies keep three connected records:
- Beneficial owner register – identity details of each beneficial owner and the basis of their ownership or control, in the format your registrar requires.
- Partners or shareholders register – the legal owners, their shareholdings and voting rights.
- Nominee directors and director data – where nominee arrangements exist, details of the nominee and the person they act for.
Companies must also name a resident contact person in the UAE who can provide information to the authorities on request.
Deadlines that matter
| Requirement | Timeframe |
|---|---|
| Filing at incorporation | With the licence application or as the registrar specifies |
| Updating the partners or shareholders register after a change | Within 15 days |
| Responding to a registrar's request for information | Within 14 days |
| Reviewing beneficial owner data | Whenever ownership or control changes, and before licence renewal |
Many registrars also ask for confirmation of beneficial ownership at each annual licence renewal. Treat renewal as a checkpoint even if nothing has changed.
UBO penalties in the UAE
Under Cabinet Resolution No. 132 of 2023, penalties escalate. A first violation typically leads to a written notice; fines apply to the second and third violations.
| Violation | 2nd violation (AED) | 3rd violation (AED) |
|---|---|---|
| Failing to create or maintain the beneficial owner register | 50,000 | 100,000 |
| Failing to update the register | 15,000 | 30,000 |
| Providing incorrect beneficial owner details | 20,000 | 40,000 |
| Failing to provide director or nominee director data | 40,000 | 80,000 |
| Not disclosing beneficial owners in complex structures | 50,000 | 100,000 |
| Failing to name a resident contact person | 10,000 | 20,000 |
A third violation of certain obligations can also lead to suspension of the trade licence, which can freeze banking, visa renewals and contracts. On top of these administrative fines, deliberately false information can expose individuals to criminal liability under the 2025 AML law.
How to file and maintain your UBO declaration
The process differs slightly by authority, but the steps are similar.
Mainland companies
- Prepare the beneficial owner, shareholder and nominee registers in the authority's required format.
- Collect identity documents and supporting evidence of ownership and control, including group structure charts.
- Submit through the economic department's licensing channel, usually at incorporation and alongside amendments or renewals.
- Keep the registers at the company's registered office and update them within the required timeframe after any change.
Free zone companies
- Use the free zone authority's client portal or forms for UBO declarations.
- Upload the registers and identification documents for each beneficial owner and nominee.
- Refile whenever shares are transferred, a new director or manager is appointed, or the group structure changes.
- Confirm the data during annual licence renewal.
Practical tips
- Map the full chain. Draw the ownership structure up to individuals, including trusts and foundations.
- Align with your bank. Banks hold their own beneficial ownership data; inconsistencies trigger reviews.
- Link to corporate tax and AML files. Your UBO data should match what you file with the FTA and, if you are a DNFBP, what you hold for AML purposes.
- Assign an owner internally. Make one person responsible for updates within 15 days of any change.
How UBO fits with wider compliance
UBO is one piece of a compliance picture that also includes AML/CFT obligations for designated non-financial businesses and professions (real estate brokers, precious metals dealers, accountants and auditors, corporate service providers and lawyers), corporate tax registration and record-keeping, and e-invoicing from 2027. A single, accurate ownership map makes each of these easier.

Frequently Asked Questions
Do free zone companies need to make a UBO declaration?
Yes. Companies in commercial free zones must keep beneficial owner records and file them with their free zone authority. Entities in DIFC and ADGM follow their own separate beneficial ownership rules.
What is the penalty for not filing a UBO declaration in the UAE?
Under Cabinet Resolution No. 132 of 2023, a first violation usually brings a written notice. Failing to create or maintain the register then attracts AED 50,000 for a second violation and AED 100,000 for a third, with possible licence suspension.
How quickly must I update the register after a share transfer?
Changes to the partners or shareholders register must be updated within 15 days. Update the beneficial owner register at the same time if control has changed.
Is Economic Substance Regulation (ESR) reporting still required?
ESR no longer applies to financial years starting on or after 1 January 2023, following Cabinet Decision No. 98 of 2024 (as summarised by PwC). Filings for earlier years may still be outstanding, so check your history.
